  1. Acceptance of Terms

By accessing, browsing, using or otherwise interacting with this Website or any Services provided by TIE (including but not limited to memberships, courses, digital downloads, newsletters, webinars, video content, calculators, tools, and any other materials), you acknowledge that you have read, understood and agree to be bound by these Terms of Use (the “Terms”), together with our Privacy Policy (which is incorporated into these Terms by reference). If you do not accept these Terms in full, you must immediately stop using the Website and the Services.

These Terms form a legal agreement between you and TIE Capital (Pty) Ltd. References in these Terms to “you” and “your” mean the user, visitor or member accessing the Website or using the Services.

  1. Definitions

For the purposes of clarity in these Terms, the following definitions apply (where the context requires):

  • “Account” means any account registered on the Website to obtain access to Content or Services.
  • “Member” means any person holding a free (Trainee) or paid (Member) Account with TIE.
  • “Membership Period” means the period of paid access purchased with a paid membership, currently one (1) year from the date of purchase.
  • “Content” means any text, images, videos, audio, courses, modules, downloads, tools, templates, calculators, course material, articles, podcasts, newsletters and any other materials made available via the Website or Services. This includes content published on other platforms such as YouTube or similar platforms.
  • “Services” means the various offerings made available via the Website including, but not limited to, educational products, memberships, online courses, digital tools, newsletters, workshops and webinars.
  • “Payment Processor” means any bank or third-party payment service provider used by TIE to receive membership or other fees. TIE currently receives payments by electronic funds transfer (EFT) directly into its bank account and may add other payment providers in future.
  • “Privacy Policy” means the Website privacy policy which describes how we collect, use, disclose and store personal information.
  1. Educational Purposes and No Financial Advice (General)

It is crucial that you read and understand the following statement carefully.

All Content provided on or through the Website by TIE Capital (Pty) Ltd trading as The Investor Experience — including, without limitation, our online courses, workshops, calculators, downloadable resources, videos, podcasts, newsletters, social media posts, email communications, live events, digital tools, templates, and any related materials — is prepared, written and published strictly for educational and informational purposes only.

No part of the Content should be construed, interpreted or relied upon as personalised financial, investment, legal, tax or other professional advice. Neither the presenter(s) (including Wouter Lewies), nor TIE Capital (Pty) Ltd, nor any of our directors, officers, employees, contractors, agents, affiliates, or any persons acting on our behalf are in any way providing regulated financial advice or intermediary services under the Financial Advisory and Intermediary Services Act (FAIS) or any other regulatory regime by publishing or distributing Content through this Website or other social media platforms such as YouTube. For clarity, we are not licensed under FAIS and do not provide personalised financial advice.

By accessing or using any Content or Services on this Website, you expressly acknowledge and agree that:

  • No Financial or Intermediary Services are Provided: TIE does not make recommendations, endorsements or specific advice concerning any financial product, instrument, investment or transaction. All Content is provided to inform, educate and empower you to make your own decisions; it is not a substitute for personalised advice from a licensed, authorised or otherwise qualified professional.

Investing, entrepreneurship, and financial decision-making inherently involve risk and uncertainty. You acknowledge that past performance is not indicative of future results, and no financial or business outcome can be guaranteed.

  • Independent Decision-Making: You alone are responsible for your own investment, financial, business and personal decisions. You should obtain professional, licensed and appropriately authorised advice before acting on any information contained in the Content if you require tailored guidance.
  • Scope of Educational Content: The Content may cover a range of subjects (for example property investment, private equity, entrepreneurship, business development, social media marketing, sales training, forex trading, brokerage practice, online business and other related topics). Content may include theoretical examples, hypothetical scenarios, case studies, worked examples and simulations intended for educational illustration only.
  • No Incidental or Unintentional Financial Advice: While every effort is made to ensure that our Content is educational in nature, any statements, examples, or opinions that may inadvertently resemble a recommendation or suggestion regarding a financial product, investment, or course of action are not intended to constitute financial advice or a recommendation under the Financial Advisory and Intermediary Services Act (FAIS). Such content is general educational material only and must not be relied upon as personalised advice. You should consult a licensed and appropriately authorised Financial Services Provider (FSP) or other qualified professional before acting on any such information.
  • Professional Capacity: Wouter Lewies is a Chartered Accountant (SA). Content is shared in his personal capacity as an educator, and not in his capacity as a chartered accountant, auditor or tax practitioner, nor on behalf of any employer or professional body. Using the Website or Content does not create an accountant-client, tax practitioner-client or any other professional relationship. Views expressed are personal and are not those of any employer or regulatory body.
  • Personal Holdings: TIE, its director or presenters may hold investments in shares, funds or other products mentioned in the Content. Mentioning or discussing a product is not a recommendation to buy, sell or hold it.
  • Templates, Calculators and Tax Content: Templates, spreadsheets, calculators and tax-related material are simplified illustrations. Tax laws, rates and SARS requirements change regularly and depend on your circumstances. Check all formulas, figures and assumptions before relying on them, and consult a registered tax practitioner about your own tax affairs.
  • Online Tools and Calculators: The online tools and calculators on the Website (including the home loan, home affordability, car finance, bill splitter, trip and fuel cost, savings goal, compound growth and retirement savings calculators, the “What would it have been worth?” calculator, and any tools we add later) give general information and estimates only. Results are based on the information you enter and on example values and assumptions chosen by TIE for convenience, such as steady interest rates, investment returns and inflation. They are not a forecast or a guarantee of any future value, income or cost. Default interest rates, fees, fuel prices, transfer duty, deeds office fees and other third-party rates or charges are indicative, may be out of date and do not represent an offer, quote or rate that any bank, credit provider, attorney or other provider will give you. Where a tool shows the date on which figures were last checked, those figures may have changed since then. The results do not constitute a credit assessment, pre-approval or affordability assessment as contemplated in the National Credit Act, 34 of 2005, or financial advice or a financial plan as contemplated in the Financial Advisory and Intermediary Services Act, 37 of 2002, and must not be relied upon as such.
  • How the tools handle what you type: Some tools keep values within a sensible range (for example a maximum interest rate or number of years) and will tell you when they have adjusted a value. The bill splitter reads text copied from a slip and may misread items or amounts, so you must check the items and totals against your slip before anyone pays. You are responsible for checking that your inputs and the results make sense for your situation.
  • Your information in the tools: The numbers and names you type into the tools are processed in your own browser. We do not receive or store them on our servers, except for the bill splitter photo scan explained below. Some tools (such as the bill splitter) remember your last entries on your device so that you can continue later, and anyone using the same device and browser may see them. Use the tool’s start-over option to clear them.
  • Bill splitter photo scan: when you use “Scan the slip”, the photo is sent securely from our website to Anthropic, our AI provider, to read the items and amounts. We don’t store the photo on our website, and we remove card, phone and ID numbers from what comes back. Anthropic handles the photo under its commercial terms. If you’d rather not send a photo, you can type the items in instead. AI readings can be wrong, so always check the list against the slip before you pay. If you choose to report a scan problem, the photo (if you include it), your note, what the scanner read and your name and email address are emailed to TIE so that we can fix the problem. We delete them once the problem is fixed.
  • Important: limits on our responsibility for the tools. While TIE makes reasonable efforts to keep the tools accurate, including testing them, it does not warrant that the calculations, formulas or results are complete, error-free or suitable for your circumstances. To the extent permitted by law, TIE, its director and presenters are not liable for any loss or damage arising from your use of, or reliance on, any tool or its results. Nothing in these Terms limits any right you have under the Consumer Protection Act, 68 of 2008, where it applies to you, or excludes any liability that the law does not allow us to exclude, such as liability for gross negligence. Before making any financial decision, obtain written quotes and advice from your bank, credit provider, registered conveyancer, licensed financial adviser or other qualified professional.

If any content appears to imply a recommendation or opinion on a financial product or service, it must be understood that it was intended to be general, educational commentary only and not as advice directed toward any individual or entity. Please reach out to us at info@theinvestorexperience.com if you deem any information to be interpreted as financial advice so that we may remedy the situation.

  • Limitation of Liability: To the fullest extent permitted by law, TIE and its directors, officers, employees, contractors, agents, affiliates and subsidiaries disclaim all responsibility and liability for any loss, damage, claim or expense (including but not limited to any direct, indirect, special, incidental, consequential or punitive damages) arising out of or in connection with your reliance on, use of, or interpretation of the Content. You agree to hold harmless and indemnify TIE and its affiliates to the maximum extent permitted by law in respect of any claim arising from your use or interpretation of the Content.
  • Acknowledgement: By using this Website, purchasing any Services, subscribing to any membership, or otherwise engaging with TIE content, you acknowledge that you have read, understood and accepted these limitations and disclaimers and that you assume full responsibility for your decisions and actions.

Members and non-members are both covered by the general educational/no-advice clause above.

For clarity and emphasis, the sections that follow repeat relevant educational and liability language in places where members may view it to ensure clarity for all users; such repetition is intentional for emphasis and does not create contradictory obligations or rights.

  1. Eligibility
  • You must be 18 years of age or older to create an Account or otherwise access or use the Services. By creating an Account or using our Services you represent and warrant that you are at least 18 years old and have the legal capacity to enter into binding contracts.
  • When you create an Account or subscribe to a membership, you agree to provide true, accurate, current and complete information about yourself as prompted by the applicable registration form and to maintain and promptly update such information to keep it true, accurate, current and complete.
  • You acknowledge that providing false, misleading, incomplete or fraudulent information is grounds for immediate suspension or termination of your Account and may subject you to civil or criminal liability.
  • Access to the Website and Services is intended primarily for users located in South Africa. If you are accessing the Website from a jurisdiction outside South Africa, you are responsible for ensuring that your use of the Website and Services complies with the laws of the jurisdiction in which you are located. TIE does not warrant that the Website or Services are appropriate or available for use in locations outside South Africa.
  • TIE reserves the right to refuse or revoke access to any user who does not meet these eligibility requirements or who breaches these Terms in any way.
  1. Account, Memberships and Services

5.1 Membership Types and Access

  • TIE provides various membership options, currently a free Trainee membership, a paid Member membership, a limited Legacy Member membership (see section 5.13) and an invitation-only Inner Circle membership (see section 5.14). Each membership tier has specific benefits, which may include access to certain Content, courses, tools, newsletters, community resources and other features. Details of membership tiers and benefits are available on the Website and in the relevant product pages.
  • Membership benefits are personal, non-transferable and non-sublicensable. Memberships and the benefits attached thereto are granted only to the named Account holder. Any attempt to transfer, share, assign or otherwise allow any other person to access or receive membership benefits without the Company’s prior written consent constitutes a material breach of these Terms.
  • Subject to section 5.13 (Legacy Membership), TIE reserves the right to change, modify, suspend, withdraw, or discontinue any membership tier, package, benefit, price, feature or functionality at any time, in whole or in part. Price changes will not affect a Membership Period you have already paid for and will only apply when you next purchase or renew. Where reasonably practicable, TIE will provide notice to existing Members of material changes affecting core benefits; however, TIE is not obliged to provide any minimum level or frequency of Content beyond what is expressly stated in the membership description at the time of purchase.

5.2 Account Responsibilities

  • You are solely responsible for maintaining the confidentiality and security of your Account credentials (including your username and password) and for any and all activities that occur under your Account. You must notify TIE immediately of any unauthorised access or use of your Account, or any other breach of security known to you.
  • You agree not to (and will not permit any third party to) use any other person’s Account, login or password for the Website or Services and to notify us immediately if you become aware of or suspect unauthorised use of your Account.
  • TIE reserves the right to suspend, restrict or terminate access to an Account where we reasonably suspect unauthorized use, fraud, security issues, or breach of these Terms.

5.3 Price and Payment

  • The paid Member membership costs the price shown on the Website at the time of purchase (currently R450) for one Membership Period of one (1) year. Payment is made once, in advance, by electronic funds transfer (EFT) into TIE’s bank account, using the banking details and payment reference provided in your welcome email. Your paid access starts once your payment reflects in TIE’s account, which usually takes a couple of business days. The Legacy Member membership costs R400 per Membership Period and is governed by section 5.13. The Inner Circle membership costs R300 per Membership Period and is governed by section 5.14.
  • TIE does not store your card or bank details and never debits your account. You are responsible for paying the correct amount with the correct payment reference so that we can match your payment to your Account.
  • TIE is not responsible for any Payment Processor failures, downtime or breaches beyond the Company’s reasonable control. Payment Processors are independent third parties and their services are governed by their own terms and conditions and privacy policies, which you should consult.

5.4 Expiry, Renewal and Payment Reversals

  • Paid memberships do not renew automatically. Your paid access ends at the end of your Membership Period. We will email you before your Membership Period ends, and you may renew by paying for a new Membership Period at the then-current price (or, for Legacy Members, at the locked Legacy price in accordance with section 5.13). If you do not renew, your free Trainee access continues.
  • If a payment is not received, is reversed, or cannot be matched to your Account, paid access will not be activated (or may be suspended) until the payment is received and confirmed.
  • If you initiate a chargeback or reversal with your bank or payment provider without first contacting TIE to resolve the dispute, TIE may suspend or terminate your Account and will pursue recovery of outstanding amounts (including reasonable administrative, collection and legal costs) to the fullest extent permitted by law.

5.5 Cancellation, Refunds and Billing Disputes

  • Because paid memberships do not renew automatically, you do not need to cancel anything to avoid future payments. If you would like to end your paid membership early, contact info@theinvestorexperience.com. Your free Trainee access is not affected.
  • Cooling-off period: In terms of section 44 of the Electronic Communications and Transactions Act 25 of 2002, you may cancel a paid membership without reason or penalty within seven (7) days of paying for it, and we will refund the amount paid within thirty (30) days of your cancellation. If you ask us to activate your Member access within the seven (7) days and you then access or download Member-only Content, you agree that the service has begun with your consent and that, to the extent permitted by section 42 of that Act, the cooling-off right no longer applies.
  • Apart from the cooling-off period above and any rights you have under the Consumer Protection Act, refunds are considered on a case-by-case basis. TIE will consider refund requests in good faith and may issue refunds where required by applicable law or where TIE determines a refund is appropriate. Unless otherwise required by applicable law, no refunds will be made for unused portions of a Membership Period, partial periods, or missed Content. If you feel you did not receive reasonable value during your Membership Period, contact us and we will consider extending your access at no cost.
  • Any request for refund or billing dispute must be submitted to info@theinvestorexperience.com within thirty (30) days of the date of the charge and must include the Account details and a brief explanation of the claim. TIE reserves the right to investigate and to withhold refunds in instances where there is evidence of abuse, fraud, evasion, or repeated cancellations associated with misuse.
  • Where refunds are provided, they may be made in the original payment currency and by EFT to a bank account in your name in either the full amount or a portion of the membership fee.

5.6 Suspension and Termination for Breach or Misuse

  • TIE may, in its sole discretion and without prior notice, suspend, restrict or terminate any Account and/or access to the Website or Services where it reasonably suspects: (a) a breach of these Terms; (b) fraudulent or unlawful activity; (c) misuse of the Website or Services; or (d) any other conduct which is detrimental to other users or to the business or reputation of TIE.
  • Suspension or termination does not affect any accrued rights, fees or liabilities which arise prior to suspension or termination. TIE may retain certain information after termination in line with its Privacy Policy and applicable law.
  • If TIE ends your paid membership early for a reason other than your breach of these Terms (for example, because TIE stops offering the membership), TIE will refund the unused part of your Membership Period on a pro-rata basis.

5.7 Member Conduct and Acceptable Use

  • Members must at all times use the Content and Services for lawful, personal and educational purposes only. Members must not reproduce, distribute, transmit, publish, display, perform, or create derivative works of any Content for commercial purposes unless they have obtained the Company’s express prior written consent.
  • Members must not post, upload, or otherwise distribute content that is unlawful, defamatory, discriminatory, harassing, obscene, infringing, or otherwise objectionable. Members must not attempt to circumvent technical protections such as access controls, digital rights management, watermarking, or any other protective measures applied to Content.
  • The Company reserves the right to remove or block content and to suspend or terminate Members that breach this provision. TIE reserves the right to pursue injunctive relief or other remedies to prevent or address unauthorised use.

5.8 No Obligation to Provide Content; “Side-Hustle” Notice and Content Availability

  • Members expressly acknowledge that while TIE endeavours to provide Content and member benefits in accordance with the descriptions on the Website, the Company does not guarantee a specific quantity or frequency of Content beyond any express commitments stated in the applicable product or membership description at the time of purchase.
  • TIE is a founder-led, small business operation. The provision, frequency and volume of Content may vary due to operational, scheduling, personal, technical or other factors. While TIE will use reasonable efforts to maintain and publish Content, the Company does not accept any legal obligation to ensure that Content is provided on any particular timetable or at any guaranteed frequency. There may be times of heightened content delivery and times where less content is produced; Members accept and acknowledge this variability.
  • To the maximum extent permitted by applicable law, TIE will not be liable for any loss, damage or cost arising from interruptions, delays, reductions in quality or availability of Content or Services, whether caused by maintenance, technical issues, third-party failures, hosting interruptions, force majeure events or any other event beyond the Company’s reasonable control.

5.9 Limitation of Liability for Membership Services

  • The limited liability provisions detailed elsewhere in these Terms are expressly incorporated into this membership section for emphasis. To the fullest extent permitted by applicable law, TIE and its directors, officers, employees, agents, affiliates and contractors will not be liable for any indirect, incidental, special, punitive or consequential damages (including loss of profits, loss of business, loss of goodwill or loss of data) arising from or in any way related to the provision, suspension, termination or use of membership services, irrespective of whether TIE had been advised of the possibility of such damages.

5.10 Login Access & Security (Courses and Members-Only Areas)

  • Access to courses and members-only areas is provided exclusively to the registered Member and is non-transferable. Purchase of a course or membership grants a limited, non-exclusive, non-transferable and revocable licence to access the relevant Content for the Member’s personal, non-commercial use.
  • Members are responsible for the security and confidentiality of their Account credentials and all activity that occurs under their Account. Any sharing, sale, transfer, rental, or other distribution of login credentials is strictly prohibited and constitutes a material breach of these Terms. Where the Company discovers or reasonably suspects such behaviour, the Company may immediately suspend or terminate the Member’s Account without refund and pursue any available legal or equitable remedies.
  • If you become aware of or suspect unauthorised access of your Account, you must notify TIE immediately at info@theinvestorexperience.com. The Company will take reasonable steps to investigate and may require verification of identity before restoring access or processing refund requests where misuse is suspected.

5.11 Taxes and Fees

  • TIE is not currently registered as a VAT vendor, so no VAT is charged and the prices shown on the Website are the full prices you pay. If TIE registers for VAT in future, prices will be displayed inclusive of VAT.

5.12 Contact for Membership & Billing Matters

  • For all membership administration, billing enquiries, cancellation requests, or refund/dispute requests, please contact info@theinvestorexperience.com. Please include relevant Account details, the date of the transaction and a description of the issue to assist TIE in responding promptly.

5.13 Legacy Membership

  • (a) What it is. Legacy Membership is a limited membership offered to the first fifty (50) people who sign up for it. Legacy Members receive the same access and benefits as Members.
  • (b) Price. Legacy Membership costs R400 per Membership Period of one (1) year, including VAT should VAT ever apply.
  • (c) Price lock. For as long as your Legacy Membership remains active without a break, TIE will not increase your Legacy Membership fee, even if the price of the Member membership increases. Your Legacy Membership remains active without a break if you pay for each new Membership Period no later than thirty (30) days after your current Membership Period ends. If you do not renew within that time, or you cancel your Legacy Membership, the price lock ends, and if you join again, the price applicable at that time will apply.
  • (d) What the price lock covers. The price lock applies only to the yearly platform subscription fee: access to the content, tools and downloads included in the Member subscription, including anything new we add to the Member subscription. It does not cover products or services that we offer or charge for separately, now or in the future, including:
    • courses or programmes sold separately from the Member subscription;
    • live or recorded workshops, webinars, masterclasses and events;
    • one-on-one sessions, coaching or consultations;
    • corporate, group or team packages;
    • any premium tier with features beyond the Member subscription;
    • physical products, books and merchandise; and
    • any other products or services we may charge for in the future.

    Legacy Members may be offered these at a discount.

  • (e) Changing or ending the Legacy offer in exceptional circumstances. We will honour the Legacy price for as long as your Legacy Membership stays active. We will only change or end Legacy Membership pricing in exceptional circumstances outside our normal business decisions, namely: (i) a substantial increase in the cost of running the platform that is outside our control, such as hosting, software, payment or AI service costs; (ii) a change in law, tax or regulation that affects how we can offer the subscription, including VAT; (iii) if we discontinue or fundamentally restructure the Member subscription; or (iv) if continuing the Legacy price would make the platform financially unsustainable. We will not use this clause simply to raise prices. If we have to rely on it, we will give you at least twelve (12) months’ written notice and explain the reason, and your Legacy price will apply until the end of your paid Membership Period or the end of the notice period, whichever is later. You may then continue at the price we give you, which will not be more than the Member price at that time, or cancel.
  • (f) Personal. Legacy Membership is personal to the named Account holder and may not be transferred or shared (see section 5.1).
  • (g) If the platform closes. If TIE closes the platform, TIE will refund the unused portion of your paid Membership Period.
  • (h) Legacy Membership granted by TIE. TIE may, at its discretion, offer Legacy Membership to an existing Member after the first fifty (50) sign-ups, for example to replace a Legacy Member who did not renew. This does not give anyone a right to receive Legacy Membership.
  • (i) Priority. Where anything in this section 5.13 conflicts with another part of these Terms, this section applies to Legacy Membership.

5.14 Inner Circle Membership

  • (a) What it is. Inner Circle Membership is offered by invitation only, at TIE’s discretion, to friends and family of TIE. It is not advertised on the Website. Inner Circle Members receive the same access and benefits as Members.
  • (b) Joining. You can only join through the private link and invite code that TIE gives you. The link and code are for your use only and may not be shared. TIE may cancel an Inner Circle sign-up made without a valid invitation, and may offer you the Member membership instead.
  • (c) Price. Inner Circle Membership costs R300 per Membership Period of one (1) year, including VAT should VAT ever apply.
  • (d) Price changes. The Inner Circle price is not locked. TIE may change it by giving you at least thirty (30) days’ notice before your next renewal. The new price will never be more than the Member price at that time.
  • (e) Ending the offer. TIE may stop offering Inner Circle Membership, to new or existing members, at any time. Your access continues until the end of your paid Membership Period, after which you may renew as a Member at the then-current price.
  • (f) Personal. Inner Circle Membership is personal to the named Account holder and may not be transferred or shared (see section 5.1).
  • (g) Everything else. In all other respects, these Terms apply to Inner Circle Members as they do to Members.
  1. Content Access and Use (Member & Non-Member Emphasis)

All Content, including but not limited to educational courses, videos, articles, templates, financial calculators, worksheets, webinars, newsletter content, downloadable resources and related materials made available on this Website are intended for personal, non-commercial, educational use only. The Company provides these materials to enhance financial literacy, to illustrate concepts and to educate users on general financial and business subjects. Content is supplied on an “as is”, “as available” basis and no warranty (express or implied) is given as to the accuracy, completeness, currency, reliability or suitability of the Content for any particular purpose.

The Company provides tools and knowledge for educational purposes only. The use, application and interpretation of the Content, tools and resources are at the sole discretion and risk of the user. The Company and its directors, officers, employees, agents, affiliates and subsidiaries shall not be held liable for any direct, indirect, consequential, incidental, special or other loss, damage or expense arising from the use, reliance upon or interpretation of such Content, including any loss of capital or financial loss. Any financial calculators or illustrative tools are for estimation and demonstration purposes only and do not reflect personalised advice or tailored recommendations.

Members are again specifically reminded — as are non-members — that the Content does not constitute personalised financial, legal, tax or investment advice. Members’ rights to Content do not in any case imply a duty on the Company to ensure that the Content is suitable for a Member’s individual circumstances. Members should seek independent, professional advice prior to making any financial or investment decisions.

  1. Website Use and User Conduct

When using this Website you must at all times act lawfully and in good faith and in a manner that does not infringe the rights of any third party or interfere with the operation of the Website or Services.

  • violate any applicable law, statute, regulation or rule;
  • access, or attempt to access, any part of the Website or the Services that you are not authorised to access;
  • use automated means (including bots, spiders, scrapers, crawlers or similar tools) to access, monitor, data-mine, extract or copy Content without prior written permission from TIE;
  • transmit or distribute any viruses, malware, trojans, worms, harmful code or any other material that may damage or interfere with the operation of the Website, Services or systems of any third party;
  • attempt to gain unauthorised access to the Website, servers or accounts or to bypass or defeat any security or access control of the Website;
  • interfere with or disrupt the operation, servers, networks, or systems of the Website or any user’s enjoyment of the Website;
  • collect, store or harvest personal data of other users without consent;
  • post, upload, transmit, store or otherwise make available content that is defamatory, obscene, abusive, discriminatory, harassing, hateful, sexually explicit, unlawful or otherwise objectionable;
  • use the Website or Content for any commercial resale, sublicense, redistribution or other commercial activity without the express written consent of TIE; or
  • impersonate any person or entity or misrepresent your affiliation with any person or entity.

TIE reserves the right to investigate and take appropriate legal action against anyone who, in TIE’s sole discretion, violates this provision, including terminating accounts, reporting such users to law enforcement authorities, and pursuing civil remedies.

  1. Third-Party Services and External Links

The Website may contain links to third-party websites, applications, platforms, tools or services (including embedded content), or may integrate with third-party services (including but not limited to MemberPress, YouTube, Google Fonts, our website hosting and email delivery providers, and similar services) which are not owned or controlled by TIE. Such third-party services may collect, use and disclose personal information in accordance with their own terms and privacy policies.

TIE is not responsible for the content, operation, policies, security practices or terms of any third-party website, platform, or service and expressly disclaims liability for any loss, damage or cost incurred in connection with the use of such third-party services.

The inclusion of any link or embedded content does not imply endorsement by TIE of the linked site or content. If you access any third-party sites, you do so at your own risk and should review their terms and privacy policies.

  1. Intellectual Property

All Content, designs, text, graphics, logos, icons, images, downloads, course materials, trademarks, service marks and other materials available on this Website are the proprietary property of TIE Capital (Pty) Ltd or its licensors and are protected by applicable intellectual property laws in South Africa and international intellectual property laws and treaties.

Except where expressly permitted by these Terms or by the Company in writing, you may not copy, reproduce, republish, upload, post, transmit, display, modify, adapt, sell, license, distribute, create derivative works from, or otherwise use any of the Content for any public or commercial purpose without prior written permission from TIE. Any unauthorised use may constitute an infringement of intellectual property rights and may result in legal action.

  1. User-Generated Content (if any)

If you submit any content to the Website (including comments, feedback, suggestions, ideas, testimonials, or other materials), you grant TIE a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free licence to use, reproduce, adapt, publish, translate, distribute and display such content in any media now known or hereafter developed for any purpose related to the Services, including marketing, promoting or improving the Services.

By submitting content you represent and warrant that you own or have all necessary rights, licenses and permissions in the content and that the content does not infringe any intellectual property right, privacy right or other right of any third party and is not unlawful. TIE may remove any content at its discretion.

  1. Privacy and Data Protection

Your privacy is important to us. The manner in which we collect, use, disclose and protect your personal information is set out in our Privacy Policy which forms an integral part of these Terms. You should review the Privacy Policy carefully; by using the Website and the Services you consent to the collection, processing and storage of your personal information as described in the Privacy Policy.

TIE implements reasonable technical and organisational measures intended to safeguard personal information. However, you acknowledge that no transmission over the internet or electronic storage mechanism is completely secure and that we cannot guarantee absolute security. In the event of a data breach that materially affects your privacy, we will take reasonable steps to notify you and the Information Regulator in accordance with applicable law.

  1. Disclaimer of Warranties

While TIE endeavours to ensure that Content on the Website is accurate and up-to-date, the Content and Services are made available on an “as is” and “as available” basis without any warranty, condition or representation of any kind, whether express or implied. To the maximum extent permitted by law, TIE disclaims all warranties, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability and quiet enjoyment.

TIE does not warrant that the Website will be uninterrupted, secure or error-free, that defects will be corrected, or that the Website or servers are free of viruses or other harmful components. You acknowledge that your use of the Website and Services is at your own risk.

  1. Limitation of Liability

To the fullest extent permitted by applicable law, TIE Capital (Pty) Ltd, trading as The Investor Experience, and its affiliates, officers, directors, employees, agents, licensors and representatives shall not be liable for any direct, indirect, incidental, consequential, special, exemplary or punitive damages, including but not limited to loss of profits, revenue, data, business or goodwill, arising out of or in connection with your use of or inability to use the Website, Content or Services, whether based on warranty, contract, delict (including negligence), statute or otherwise, even if TIE has been advised of the possibility of such damages.

Subject to your rights under the Consumer Protection Act, this limitation applies to all claims, whether arising in contract, delict, negligence, strict liability or otherwise. You agree that your sole and exclusive remedy for dissatisfaction with the Website, Content or Services is to discontinue use of the Website or Services and, where applicable, to end your membership in accordance with these Terms.

TIE provides educational content only and does not offer personalised financial advice. Any decisions, purchases or investments made by you based upon Content or Services are at your own risk. TIE will not be responsible for any decisions you make as a result of engaging with our Content or Services.

Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded, including liability for loss caused by TIE’s gross negligence or wilful misconduct, or any right you have under the Consumer Protection Act 68 of 2008.

Safety Note: Be aware of fraudulent impersonation attempts. If you receive any communication from individuals claiming to represent TIE or its principals which appears suspicious, do not act on offers or transfer funds. Always verify the identity and authority of any person offering services on behalf of TIE. TIE accepts no liability for transactions with unauthorised third parties. TIE will never ask for your password, and will never ask you to pay into any bank account other than the one in your welcome email.

  1. Indemnity

To the maximum extent permitted by law, you shall indemnify, defend and hold harmless TIE and its officers, directors, employees, agents, affiliates and licensors from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising from or related to: your breach of these Terms, your User-Generated Content, your violation of any rights of a third party, or your violation of any applicable law or regulation.

This indemnity shall survive termination or expiry of your Account or membership.

  1. Breach Notification

If TIE becomes aware of a security breach or unauthorised access affecting personal information that may materially affect you, TIE will take reasonable steps to contain and investigate the incident, and where required by applicable law (including POPIA), to notify affected users and the Information Regulator as soon as reasonably practicable. Notifications will include relevant information about the incident and steps that affected users may take to protect themselves.

  1. Governing Law, Jurisdiction and Injunctive Relief

These Terms and any dispute or claim arising out of or in connection with these Terms or your use of the Website or Services shall be governed by and construed in accordance with the laws of the Republic of South Africa. We make no representation or warranty that our content, services, or digital offerings are appropriate, lawful, or available for use in other countries.

You agree to submit to the exclusive jurisdiction of the South African courts to resolve any dispute, claim or controversy arising under these Terms, unless otherwise mutually agreed in writing. This does not limit any right you may have to approach the National Consumer Commission, a consumer court, an ombud or another dispute resolution body under the Consumer Protection Act.

Nothing in this clause prevents TIE from seeking injunctive or other equitable relief in any jurisdiction in order to protect its intellectual property, confidential information or other proprietary rights.

  1. Changes to Terms and Availability of Services

TIE reserves the right to modify, amend, update, or replace these Terms at any time. Any changes will be posted on this page with a revised “Last Updated” date. Your continued access or use of the Website or Services after changes have been posted will constitute acceptance of those changes. Where a change materially affects paid Members, we will also notify them by email before the change takes effect.

TIE also reserves the right to modify, suspend, discontinue or withdraw, temporarily or permanently, all or part of the Website, Content or Services (including specific membership tiers or features) with or without notice, and TIE will not be liable to you or any third party for any modification, suspension, discontinuance or withdrawal.

  1. Termination of Access and Suspension of Services

TIE reserves the right, in its sole discretion and without prior notice, to suspend, restrict, or terminate any user’s access to the Website, its Services, or any part thereof, at any time and for any reason, including but not limited to actual or suspected violations of these Terms, unlawful conduct, technical issues, maintenance, or business considerations.

Upon such suspension or termination, all rights granted to you under these Terms shall immediately cease, and you must promptly cease all use of the Website and its Content. The Company shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Website or any of its Services.

Termination of your access, whether as a member or general user, does not affect any obligations or liabilities incurred prior to the effective date of termination, including payment obligations or indemnities. The Company may, in its sole discretion, preserve information or communications as required by law or for legitimate business purposes.

  1. Assignment and Subcontracting

TIE may assign or subcontract any of its rights and obligations under these Terms at any time. You may not assign, transfer or novate your rights or obligations under these Terms without TIE’s prior written consent; any attempted assignment without such consent shall be void.

  1. Severability and Waiver

If any provision of these Terms is held to be invalid, illegal or unenforceable in any respect by a court of competent jurisdiction, such provision shall be severed to the extent of its invalidity, illegality or unenforceability and the remaining provisions shall remain in full force and effect. Failure by TIE to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

  1. Miscellaneous

Headings in these Terms are for convenience only and do not affect interpretation.
